Terms & Conditions - the basics

These Terms and Conditions ("Terms") govern your use of the services and website provided by Vursye ("Company", "we", "our", or "us"). By accessing our website or engaging with any of our services, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our website or services.
 

1. Services
Vursye provides professional automation services utilizing third-party platforms, including but not limited to Make.com, Zapier, and ChatGPT. These services may include consultation, workflow development, automation optimization, and team training. All services are delivered based on the scope agreed upon between the Client and Vursye in writing or via official communication.
 

2. Use of Services
By engaging Vursye, you represent that you are legally authorized to act on behalf of your business or organization. You agree to provide accurate and complete information necessary for the successful provision of services. Failure to do so may result in service delays or termination.
 

3. Third-Party Tools and Integrations
Vursye is not affiliated with or endorsed by Make.com, Zapier, OpenAI (ChatGPT), or any other third-party platforms referenced in our services. Use of such tools is governed by their respective terms of service. Vursye is not liable for any changes, outages, disruptions, or limitations imposed by these platforms.
 

4. Intellectual Property
All custom workflows, automation logic, training materials, and deliverables developed by Vursye are the intellectual property of Vursye unless otherwise agreed in writing. Upon full payment, the Client receives a non-exclusive, non-transferable license to use such deliverables internally for business purposes. Reproduction, resale, or redistribution of these materials without express written permission is strictly prohibited.
 

5. Confidentiality
Vursye agrees to maintain the confidentiality of all proprietary and sensitive information disclosed by the Client in connection with our services. This includes, but is not limited to, business processes, customer data, internal documentation, and systems access credentials. This obligation shall remain in effect for a period of three (3) years following the termination of the relationship, unless otherwise agreed.
 

6. Payment Terms
All fees and payment terms will be communicated to the Client in advance and confirmed via formal agreement or invoice. Payments are due upon receipt unless otherwise specified. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law. Vursye reserves the right to suspend or terminate services for accounts that are delinquent.
 

7. Warranties and Disclaimers
All services are provided "as is" and "as available." Vursye makes no warranties, express or implied, regarding the accuracy, reliability, suitability, or availability of our services or deliverables. Vursye does not guarantee specific outcomes, business improvements, or financial results. The Client assumes full responsibility for evaluating the suitability of our services for their business needs.
 

8. Limitation of Liability
To the fullest extent permitted by law, Vursye shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of profits, revenue, data, or use, arising out of or in connection with our services or these Terms, even if advised of the possibility of such damages. Our total liability to the Client for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by the Client for the specific service giving rise to the claim.
 

9. Termination
Either party may terminate services upon written notice. Upon termination, the Client agrees to pay for all services rendered and costs incurred up to the termination date. Any licenses granted for deliverables will remain in effect provided payment has been made in full.
 

10. Modifications
Vursye reserves the right to amend these Terms at any time. All changes will be posted to our website with an updated effective date. Continued use of our website or services after such modifications constitutes acceptance of the updated Terms.
 

11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State or Jurisdiction], without regard to its conflict of law principles.
